John B. Marshall is a Los Angeles business lawyer and Shareholder at our Firm. He represents clients in four primary practice groups: Business & Civil Litigation, Commercial Real Estate, Corporate and Health Care Law.
As a health law attorney, Mr. Marshall has served as General Counsel for one of the largest public health care districts in California for nearly 20 years.
Mr. Marshall has negotiated sales of hospitals and hospital groups, related equipment and real estate, distributing, selling or disposing of millions of dollars of assets in multi-tiered transactions.
Transactions which Mr. Marshall has handled involved transitioning thousands of employees, holding a public election for approval of the sale, and administrating numerous regulatory issues. Mr. Marshall has presented proposals for potential sales in public meetings attended by hundreds of concerned business owners and individual constituents of an affected community.
In addition to conducting transactions and litigation for hospitals, health care districts, medical groups and independent health care practitioners, Mr. Marshall also negotiates buy-sell agreements for commercial real estate owners and developers, handles transactions and litigation of commercial financing for both lenders and borrowers, and structures corporations, limited liability companies, partnerships and limited partnerships.

In 2012 and 2013, Mr. Marshall was recognized as one of the Valley's Trusted Advisors by the San Fernando Valley Business Journal, and has twice received the President's Award from the San Fernando Valley Bar Association for his contributions to the Association, in 2007 and 2019.
Mr. Marshall graduated magna cum laude, with honors in Political Science, from the University of Southern California, where he was elected to Phi Beta Kappa and to Phi Kappa Phi. He attended law school at the University of California, Berkeley (formerly Boalt Hall), where he was elected to the Order of the Coif, which recognizes law students graduating in the top ten percent of their class.
During law school, Mr. Marshall was named a Regents Fellow in Law by the Board of Regents of the University of California, which included full tuition and living expenses, and earned an American Jurisprudence award for receiving the highest grade in Corporations, as well as achieving the highest grade in Constitutional Law, Creditors Remedies and Comparative Jurisprudence. While in law school, he also served as a special editorial assistant with California Continuing Education of the Bar (CEB), where he worked on several major legal practice books, including CEB's book on the California Corporate Securities Law.
This Los Angeles business lawyer served as an Adjunct Professor at UCLA, teaching business law to candidates for CPA examination. Mr. Marshall is also the author of the chapter on “Legal Forms of Organization” in Financial Planning for the Independent Professional, and has served as a settlement officer and Judge Pro Tem for the Los Angeles Superior Court. He is also an Arbitrator and has chaired multiple Arbitration panels for the Los Angeles County Bar Association's Dispute Resolution Services, the Beverly Hills Bar Association, and the San Fernando Valley Bar Association where he is currently Chairperson of its Mandatory Fee Arbitration Program.
Mr. Marshall served on the Corporations Committee of the State Bar of California, which analyzes and makes recommendations concerning California legislation affecting corporations.
A member of the State Bar of California, Mr. Marshall is admitted to practice before the U.S. District Courts for the Northern, Eastern, Central and Southern Districts of California, and the U.S. Supreme Court. The Los Angeles business lawyer joined our firm in 1981 and serves as Vice President, Co-Chair of the firm's Real Estate Practice Group, and Chair of the Healthcare Practice Group.
